PUBLIC LICENSING PORTAL™ — PLATFORM ACCESS AGREEMENT

1. PLATFORM ACCESS
This Platform Access Agreement ("Agreement") governs use of the Public Licensing Portal™ (the "Platform") together with the posted Terms of Use, Privacy Policy, and any separately executed agreement that applies to a transaction or confidential disclosure.

2. PLATFORM PURPOSE
The Platform supports governed licensing inquiries, buyer/partner onboarding, rights and availability review, NDA workflows, controlled document access, Business Affairs review, legal review, approvals, deal progression, and payment workflows where activated. Availability of a technical feature does not create legal authority or a licensing commitment.

3. SERVICE AVAILABILITY
The Platform is provided subject to applicable service terms and deployment configuration. No uptime, uninterrupted-service, data-persistence, provider-availability, or feature-continuity guarantee is created by this notice.

4. PUBLIC AND CONFIDENTIAL INFORMATION
Public marketplace summaries may be viewed without confidential-access authority. Materials designated confidential, NDA-restricted, internal, or trustee-controlled may be accessed only through the applicable governed access condition. An explicit active AccessGrant controls confidential portal access; NDA status alone does not create access.

5. FEEDBACK
If you voluntarily provide product feedback, the Trust may use it to evaluate and improve the Platform, subject to any separate written agreement governing that feedback. This notice does not transfer ownership of unrelated intellectual property.

6. NO LICENSING COMMITMENT
A listing, inquiry, account, NDA, payment, AI output, discussion, access grant, or technical workflow does not itself constitute an offer, option, ownership transfer, exclusivity grant, or license. Granted rights are controlled by the applicable executed instrument and authorized decision record.

7. DATA AND RECORDS
Personal and transaction data are handled under the posted Privacy Policy, applicable law, legal-hold requirements, and authorized records-governance rules. The Platform does not create a universal retention period through this Agreement.

8. SUSPENSION OR TERMINATION
Platform access may be restricted or terminated in accordance with applicable terms, security requirements, legal obligations, or authorized Trust governance.

9. GOVERNING TERMS
Governing law, venue, dispute terms, and transaction-specific obligations are controlled by the applicable executed agreement and law. This portal notice does not invent or override those provisions.
